Terms of Service

PosStar is a multi-vendor Software-as-a-Service (SaaS) point-of-sale platform designed for businesses of all sizes. The Service provides:

• Point-of-sale terminal with inventory management, customer relationship management, and sales reporting.
• Industry-specific templates and modules for retail, food & beverage, grocery, health & beauty, distribution, and service businesses.
• Desktop (Windows, Mac) and mobile (iOS, Android) applications with offline-first capabilities.
• AI-powered business insights, analytics, and automation features.
• Online storefront, invoicing, employee management, and additional modular features.

PosStar reserves the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

To use the Service, you must:

• Be at least 18 years of age or have the legal authority to enter into these Terms on behalf of a business entity.
• Provide accurate and complete registration information, including your name, email address, business name, and business type.
• Maintain the security of your account credentials. You are responsible for all activities that occur under your account.
• Notify us immediately at support@posstar.net if you suspect unauthorized access to your account.

You may create sub-accounts for employees (cashiers, managers) within your vendor account. You are responsible for their actions within the platform.

PosStar offers multiple subscription tiers to suit different business needs:

• Free Plan: Core POS features with limited modules. Free forever with no credit card required.
• Pro Plan: Advanced features including AI analytics, multi-store support, employee scheduling, and premium modules. Billed monthly or annually.
• Enterprise Plan: Full platform access with priority support, custom integrations, dedicated account management, and SLA guarantees. Custom pricing.

All paid subscriptions include a 14-day free trial. You will not be charged until the trial period expires. You may cancel at any time before the trial ends to avoid charges.

Subscription fees are non-refundable except where required by applicable law. PosStar reserves the right to change pricing with 30 days' written notice to existing subscribers.

Your business data belongs to you. PosStar acts as a data processor on your behalf:

• You retain full ownership of all data you create, upload, or store on the platform, including products, customers, sales records, invoices, and inventory data.
• You may export your data at any time using the built-in export features (CSV, PDF).
• PosStar will not access, use, or share your business data except as necessary to provide the Service or as described in our Privacy Policy.
• Data is stored using multi-tenant architecture with row-level security. Your data is isolated from other vendors on the platform.

You agree to use the Service only for lawful business purposes. You must not:

• Use the Service for any illegal activity, including the sale of prohibited or controlled goods without proper authorization.
• Attempt to gain unauthorized access to other users' accounts, data, or any part of the Service infrastructure.
• Reverse engineer, decompile, or disassemble any portion of the Service software.
• Transmit viruses, malware, or any code designed to disrupt or damage the Service.
• Use the Service to send unsolicited communications (spam) to customers or third parties.
• Resell, sublicense, or redistribute the Service without written authorization from PosStar.
• Exceed reasonable usage limits that may impact service availability for other users.

Violation of this policy may result in immediate suspension or termination of your account.

The Service, including its source code, design, logos, documentation, and all associated intellectual property, is owned by PosStar and protected by copyright, trademark, and other intellectual property laws.

• Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your internal business operations.
• You may not copy, modify, or create derivative works based on the Service without prior written consent.
• Any feedback, suggestions, or feature requests you provide may be used by PosStar without obligation to you.
• Third-party integrations and plugins available through the Module Marketplace are subject to their respective developers' terms.

PosStar integrates with third-party payment processors to facilitate transactions:

• Vendors use their own payment gateway credentials (e.g., bKash, Nagad, Stripe). PosStar does not process payments on your behalf and is not responsible for payment processing errors by third-party providers.
• Subscription payments to PosStar are processed through our designated payment methods. Transaction fees charged by payment processors are your responsibility.
• You are solely responsible for compliance with all applicable payment regulations, tax obligations, and financial reporting requirements in your jurisdiction.

PosStar strives to maintain high availability but does not guarantee uninterrupted access:

• The Service is provided “as is” and “as available.” Scheduled maintenance will be communicated in advance when possible.
• The desktop and mobile POS applications include offline functionality. Data created offline will sync automatically when connectivity is restored.
• Support is available via email at support@posstar.net. Enterprise plan subscribers receive priority support with guaranteed response times.

To the maximum extent permitted by applicable law:

• PosStar shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
• PosStar's total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.
• PosStar is not responsible for losses resulting from third-party payment processor failures, internet connectivity issues, or hardware malfunctions.
• AI-powered features are provided as decision-support tools and should not be relied upon as the sole basis for business decisions. PosStar does not guarantee the accuracy of AI predictions or recommendations.

You agree to indemnify and hold harmless PosStar, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service in violation of these Terms.
• Your violation of any applicable law or regulation.
• Any content or data you upload, store, or transmit through the Service.
• Your business operations, including products sold, services rendered, and customer interactions conducted through the platform.

Either party may terminate this agreement:

• By you: You may cancel your subscription and close your account at any time through your account settings or by contacting support. Active subscription periods are non-refundable.
• By PosStar: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay subscription fees after reasonable notice.

Upon termination, you will have 30 days to export your data. After this period, your data will be permanently deleted from our servers. Locally stored data on your devices will remain until you uninstall the applications.

PosStar reserves the right to modify these Terms at any time. We will provide notice of material changes through:

• Email notification to your registered email address.
• A prominent notice within the Service dashboard.
• Updating the “Last updated” date at the top of this page.

Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you disagree with any changes, you may terminate your account.

These Terms are governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from these Terms or your use of the Service shall be resolved through:

• Informal resolution: We encourage you to contact us first at support@posstar.net to resolve any issues amicably.
• Mediation: If informal resolution fails, disputes may be submitted to mediation before pursuing formal legal action.
• Jurisdiction: Any legal proceedings shall be brought exclusively in the courts of Dhaka, Bangladesh.

• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and PosStar regarding the Service.
• Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any future enforcement.
• Assignment: You may not assign your rights under these Terms without our prior written consent. PosStar may assign its rights in connection with a merger, acquisition, or sale of assets.
